Our typical business client is a closely-held company conducting business in the State of Florida.  We frequently assist start-up or merging businesses in entity selection, formation and organization.  Ongoing businesses retain our office to interpret and amend existing corporate documents, contracts and policy manuals, and offer advice and counsel on board and general business and legal matters.  From time to time, we are called upon to litigate for our business clients, including business torts, contract enforcement matters, commercial collections, and resolution of disputes related to corporate governance, including officer and director liability and shareholder claims.  Our office provides closing agent services for asset purchase and sale transactions (including franchise transfers) for a variety of business types.  We have recently represented the Florida subsidiaries of a national company as local counsel, issuing third party opinion letters, and are interested in developing our third party opinion practice as the Florida Bar’s Business and Real Property and Probate Sections finalize their standards in this area.
